Terms of Service & Liability

1. Acceptance of Terms
By purchasing, downloading, installing, or using Convertico ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.
2. License Grant
2.1 What You Get
Subject to your compliance with these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on the number of devices specified in your license tier
- Use the Software for your internal business operations
- Receive updates for the period specified in your license
2.2 What You Don't Get
You may NOT:
- Reverse engineer, decompile, or disassemble the Software
- Modify, adapt, or create derivative works of the Software
- Rent, lease, lend, sell, redistribute, or sublicense the Software
- Remove or alter any proprietary notices on the Software
- Use the Software for any unlawful purpose
- Exceed the number of installations permitted by your license
3. License Tiers
- Small Team ($299): Up to 5 device installations
- Business ($699): Up to 20 device installations
- Enterprise ($1,499): Unlimited device installations within your organization
One license key per tier. Each installation must be for your organization's use only.
4. Payment Terms
4.1 Pricing
All prices are in CAD and are one-time payments unless otherwise specified. Prices are subject to change with 30 days notice for future purchases.
4.2 Refunds
We offer a 30-day money-back guarantee from the date of purchase. To request a refund, contact sales@convertico.ca with your license key and reason for refund.
4.3 Taxes
Prices do not include applicable taxes. You are responsible for all taxes associated with your purchase.
5. Updates & Support
5.1 Software Updates
- Small Team & Business: Free updates for 1 year from purchase date
- Enterprise: Free updates for life
- After the free update period, you may purchase extended updates for $99/year
- The Software continues to work even if you don't renew updates
5.2 Support
- Small Team: Email support, 48-hour response time
- Business: Priority email support, 24-hour response time
- Enterprise: Dedicated support with phone/video, same-day response
6. Warranty Disclaimer
We disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability
- Warranties of fitness for a particular purpose
- Warranties of non-infringement
- Warranties that the Software will meet your requirements
- Warranties that the Software will be uninterrupted, timely, secure, or error-free
7. Limitation of Liability
7.1 No Liability For
We are NOT liable for:
- Data Loss: Loss of files, data corruption, or failed conversions
- Business Losses: Lost profits, lost revenue, lost business opportunities
- Indirect Damages: Consequential, incidental, special, or punitive damages
- Third-Party Claims: Claims arising from your use of converted files
- Security Breaches: Unauthorized access to your devices (not caused by the Software)
7.2 Maximum Liability
Our total liability to you for all claims arising from your use of the Software shall not exceed the amount you paid for your license.
7.3 Your Responsibility
YOU ARE SOLELY RESPONSIBLE FOR:
- Backing up your original files before conversion
- Verifying the accuracy of converted files
- Testing conversions before using in production
- Securing your devices and license keys
- Compliance with applicable laws and regulations
8. File Conversion Accuracy
Important Notice: File conversions are complex and may not always be perfect. We make our best effort to provide accurate conversions, but:
- Complex formatting may not convert exactly
- Some features in source files may not be supported in target formats
- Fonts, colors, and layouts may change
- Embedded objects may be lost or altered
You must review all converted files before using them for important purposes.
9. Compliance & Legal Use
9.1 Your Obligations
You agree to:
- Use the Software only for lawful purposes
- Comply with all applicable laws and regulations
- Not use the Software to infringe intellectual property rights
- Not use the Software to process illegal content
- Maintain appropriate security for your devices
9.2 Canadian Healthcare Privacy Compliance
Convertico's architecture supports compliance with Canadian healthcare privacy laws including PIPEDA (federal), PHIPA (Ontario), PHIA (Manitoba), HIA (Alberta), and all provincial health information protection acts. However, YOU are responsible for your own compliance program, including:
- Conducting privacy impact assessments
- Implementing appropriate safeguards
- Training your workforce on privacy requirements
- Maintaining audit logs as required by your jurisdiction
- Obtaining patient consent where required
Because all processing happens locally and we don't receive, maintain, or transmit personal health information, healthcare organizations maintain full custody and control of patient data.
10. Intellectual Property
The Software and all related intellectual property rights are and remain our exclusive property. Your license does not transfer any ownership rights to you.
11. Termination
11.1 By You
You may terminate your license at any time by uninstalling the Software and ceasing all use. Termination does not entitle you to a refund after the 30-day guarantee period.
11.2 By Us
We may terminate your license if you:
- Breach these terms
- Exceed your installation limits
- Use the Software for illegal purposes
- Reverse engineer or modify the Software
11.3 Effect of Termination
Upon termination, you must immediately cease using the Software and uninstall it from all devices.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Software
- Your violation of these terms
- Your violation of applicable laws
- Your infringement of third-party rights
13. Force Majeure
We are not liable for any failure to perform our obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
14. Governing Law
These terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario.
15. Dispute Resolution
Before filing any lawsuit, you agree to first contact us at sales@convertico.ca to attempt to resolve the dispute informally. We commit to responding within 30 days.
16. Export Compliance
You agree to comply with all export laws and regulations. You may not export or re-export the Software to prohibited countries or individuals.
17. Entire Agreement
These terms constitute the entire agreement between you and Convertico regarding the Software and supersede all prior agreements.
18. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.
19. No Waiver
Our failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.
20. Changes to Terms
We may modify these terms at any time by posting the updated terms on our website. Continued use of the Software after changes constitutes acceptance of the new terms.
